08What could go wrong

What could go wrong for Palantir?

  • Governance

Three founders hold 49.999999% of the votes

Karp, Cohen and Thiel's Class F shares vote as needed to bring their total to 49.999999%, while Class A shares carry one vote each. Their voting power does not fall when they sell, as long as they keep 100,000,000 equity securities. Palantir's 10-K says Class A holders may have different interests, and that it may become a "controlled company", which could let it skip Nasdaq rules on independent directors.

  • Demand

Remaining deal value may never become revenue

Palantir counted $11.2 billion of remaining deal value at Dec 31, 2025, assuming all options are exercised. Remaining performance obligations, which are non-cancelable, were $4.1 billion. Many contracts can be ended for convenience, and federal options cannot be exercised more than a year ahead.

Rented cloud computing and other companies' AI models

Palantir relies on third-party cloud providers. AIP connects to third-party large language models, and its risk factors say third-party AI could produce false inferences about customer data. In March 2026 it committed at least $5.6 billion to one cloud agreement through Feb 29, 2036. Third-party cloud hosting added $89 million to Q2 FY2026 cost of revenue from a year earlier.
