10Why it makes money
Why does Little West make money?
Little West's gross profit per $100 rose after it left an outside factory, but overhead stayed above gross profit.
Gross profit per $100 of revenue rose from $25.5 in FY2024 to $51.0 in FY2025. The S-1/A ties lower cost of revenue to leaving a mass co-packer, an outside factory, for its own facility. Total operating expenses of $1,494,204 in FY2025 were about twice gross profit of $744,205.

FY2024 to FY2025
- Buy produce, mostly through one farm broker
- Make the blends at its own leased site
- Pay an outside operator next door to run High-Pressure Processing
- Sell through wholesale accounts and littlewest.com
- Use gross profit to pay overhead and interest, which it has not fully covered so far

22Risks of the offer
What risks does the Little West offer document flag?
Immediate dilution
The S-1/A dated Sep 14, 2026 states dilution of $3.30 a share at an assumed $5.00, or $3.13 with the underwriters' option. New investors would pay 92.1% of the total for 42.9% of the shares.
One holder controls the votes
Veg House would hold 57.1% of votes after the offering. The S-1/A says it could decide director elections and mergers, and that the CEO's indirect stake creates possible conflicts.
Nasdaq may not approve the listing
The S-1/A says closing depends on Nasdaq approval, and that the company will not complete the offering without it.
Few shares in public hands
The S-1/A says recent IPOs with similarly small floats saw extreme price swings seemingly unrelated to results. It also says penny stock rules could apply.
Broad discretion over the money
Management keeps broad discretion, per the S-1/A. Each of the five uses gets 20%, with no dollar amounts.
More shares may come
1,312,500 shares are reserved under the 2025 incentive plan, and the representative's warrants cover 5% of shares sold. The CEO's and CFO's agreements each promise 100,000 shares on listing. The S-1/A does not say whether these come from the plan. Its list of shares left out of the 8,750,000 count names only the plan shares. From day 181, up to 5,000,000 locked-up shares become eligible for sale under Rule 144 limits.
The filing's own wording
The S-1/A's cover calls an investment "highly speculative" and says it "involves a high degree of risk."
